MetLife: Ολοκληρώθηκε η εξαγορά της Alico από την AIG

Την ολοκήρωση της εξαγοράς της American Life Insurance Company (Alico) από την American International Group (AIG) έναντι 16,2 δισ. δολ. ανακοίνωσε η MetLife.

«Με την ολοκλήρωση της εξαγοράς της Alico, η MetLife έγινε η πρώτη ασφαλιστική δύναμη παγκοσμίως στις ασφάλειες Ζωής και στις Ομαδικές Ασφαλίσεις Προσωπικού» δήλωσε ο κ. C. Robert Henrikson, Chairman, President and C.E.O. της MetLife, Inc.

«Εδώ και πολλά χρόνια η MetLife κατέχει ισχυρή, ηγετική θέση στις ΗΠΑ, το Μεξικό, την Κορέα και τη Χιλή, την οποία μπορούμε τώρα να διευρύνουμε περαιτέρω μέσα από την πρόσβαση που αποκτούμε σε περισσότερες από 60 χώρες σε όλο τον κόσμο. Η συμφωνία συμβάλλει στην υλοποίηση της στρατηγικής μας για την διεθνή ανάπτυξη της εταιρίας, αναβαθμίζοντας σημαντικά την κλίμακα και την εμβέλεια της διεθνούς παρουσίας της MetLife. Επίσης, διαφοροποιεί περαιτέρω και ισορροπεί τη γεωγραφική μας παρουσία και τα προγράμματά μας, ενώ παράλληλα ενισχύει σημαντικά την ισχύ της εταιρίας στα κανάλια διανομής.

«Ως αποτέλεσμα αυτής της εξαγοράς, είμαστε σε πλεονεκτική θέση για να αυξήσουμε την κερδοφορία και την αποδοτικότητα των Ιδίων Κεφαλαίων μας,» προσέθεσε ο κ. Henrikson. «Από την στιγμή της ανακοίνωσης της συμφωνίας, στις 8 Μαρτίου του 2010, ομάδες από τη MetLife και την Alico συνεργάζονται στενά για να διασφαλιστεί ότι ο οργανισμός που προκύπτει θα αξιοποιήσει τις ευκαιρίες ανάπτυξης που βρίσκονται μπροστά μας».

Σύμφωνα με σχετική ανακοίνωση, το τίμημα που καταβλήθηκε από τη MetLife στην AIG για την εξαγορά της Alico περιελάμβανε 7,2 δισεκατομμύρια δολάρια σε μετρητά, μετά από προσαρμογές, και 9,0 δισεκατομμύρια δολάρια σε μετοχές και άλλους τίτλους της MetLife, με ενδεχόμενες προσαρμογές κατά το κλείσιμο της συμφωνίας ως προς τις τιμές κλεισίματος. Το τμήμα της τιμής της εξαγοράς που αντιστοιχεί σε τίτλους περιελάμβανε 78,2 εκατομμύρια κοινές μετοχές της MetLife, 6,9 εκατομμύρια μετατρέψιμες υπό όρους προνομιούχες μετοχές και 40 εκατομμύρια μετοχικές μονάδες (equity units). Οι τιμές των κοινών και των προνομιούχων μετοχών βασίζονται στην τιμή κλεισίματος των κοινών μετοχών της MetLife στις 29 Οκτωβρίου, την τελευταία ημερομηνία συναλλαγών πριν από το κλείσιμο της συμφωνίας.
